1. Purpose

The following general terms and conditions of sale (TCS) are designed to outline the terms under which NFT Paris offers tickets for sale for its events.The term "Event" refers to any event organized by NFT Paris and subject to these TCS. These TCS are applicable to any individual (referred to as "The Attendee," "You," or "your") participating in such events. These terms establish an agreement between NFT Paris (referred to as "The Organiser," "us," or "we") and the person completing the online registration for the Event ("you" or "your"). By registering for the Event, you acknowledge that you have read, understood, and accepted these Terms and agree to be legally bound by them. If you do not agree with these Terms, please refrain from registering, attending, or participating in the Event. If you are registering on behalf of someone else, it is your responsibility to ensure that the attendee is aware of and accepts these Terms. By completing and submitting the registration form, you represent and warrant that the attendee is aware of and has accepted these Terms. These Terms incorporate our privacy policy, which explains the collection, storage, sharing, and processing of information related to the Event, along with the terms and conditions applicable to our website and app.These TCS are accessible at all times on the NFT Paris website (HTTPS://WWW.NFTPARIS.XYZ) and are available upon request to the Organiser. These Terms are effective from the date of publication and will remain in effect until superseded by a new version. The Organiser reserves the right to modify these TCS at any time, with the version effective at the time of purchase of the entry ticket (if applicable) or the date of publication applying in case of a claim or litigation.

2. Description of the Organiser

The registered office is located at 50 RUE GAUTHEY 75017 PARIS, with a share capital of €5,000, and is represented by Alexandre TSYDENKOV. The company is registered with the Paris Registry of Trade and Companies under number: 910 934 744, and has a VAT number of FR 61 910 934 744. The official website for information and event registration is HTTPS://WWW.NFTPARIS.XYZ (referred to as the “Event Website”), and these TCS are applicable to NFT Paris events. 3. Purchase of Tickets on the Event Website

To participate in NFT Paris, attendees must purchase tickets directly from the Event Website within the "Tickets" section. Attendees can order as many tickets as allowed by the platform, depending on availability and ticket type. Attendees are responsible for paying the ticket price corresponding to their chosen category when confirming the order through the website. Once the ticket transaction is successful, electronic soft-copy tickets will be delivered via email to the nominated email address. The ticket serves as both a receipt and an invoice, with automatic email confirmation to the buyer.

Non-Refundable Tickets Policy:

Please note that all ticket purchases are final. Our tickets are non-refundable except as specified in our cancellation policy or under exceptional circumstances at the discretion of the Organiser. This policy is in effect regardless of personal circumstances, inability to attend, or any changes to the event program. By completing your purchase, you acknowledge and agree to this non-refundable policy.It's important to note that all tickets remain the property of NFT Paris and are personal, revocable licenses.NFT Paris reserves the right to withdraw tickets and refuse admission to an event at any time, with a refund of the paid amount to the attendee only under the conditions specified in our cancellation policy or the aforementioned exceptional circumstances.

4. Ticket Categories & Rights Attached to Tickets Categories

NFT Paris may offer various ticket categories on the website, including special prices for startups or students, each subject to specific eligibility criteria clearly stated on the Event Website. Attendees are responsible for selecting the appropriate ticket category that matches their status and situation. Failure to do so may result in the loss of rights associated with the ticket and, in particular, access to the event, without eligibility for a refund. Additionally, the Organiser reserves the right to cancel registrations involving fraudulent promotional code use. In such cases, the Organiser may retain a financial compensation of 15% of the order amount, including tax, as a management fee for refunding the ticket price. Attendees will be notified via email at the provided address during registration. This procedure may be carried out up to 2 days before the Event date.

b. Name Transfers and Refunds

In general, tickets are nominative and non-transferable unless specific exceptions are granted by the Organiser for certain categories of tickets or individuals. In most cases, including individual free tickets for media and speakers, and tickets provided to partners as part of sponsorship packages, ticket name changes are not accepted. Exceptions may apply to specific tickets with explicit transferability options and set transfer deadlines. To exercise the transferability right, attendees must email INFO@NFTPARIS.XYZ before the specified limit date, attaching the electronic ticket and information about the new ticket holder. The original ticket will be voided, and a code will be provided within 5 working days for the new ticket holder to register independently on our platform. Failure to follow this procedure may result in the loss of the transferability right. Refunds will not be processed within 2 weeks of the event.

c. Access to Conference Rooms

NFT Paris events may have multiple conference areas with limited capacities. The Organiser does not guarantee access to conference areas beyond the guaranteed access to the event itself. Depending on the number of attendees, certain areas may reach maximum capacity at times.

5. Ticket Prices and Payment of the Order

Ticket prices are displayed on the Event Website and are accurate at the time of publication. NFT Paris reserves the right to change ticket prices at any time, but changes will not affect tickets that have already been purchased. Tickets entitle attendees to entry to the relevant event but do not cover travel, accommodation, or related expenses. Prices are displayed exclusive of tax, with French VAT at a rate of 20% applied to all ticket purchases. Prices may vary based on ticket categories, order date, specific days of attendance, and promotional offers. Attendees must confirm their orders by clicking the "Pay" button, reviewing their order summary, including ticket category and price, and providing payment information. Once confirmed by clicking "confirm registration," the sale contract is final, and payment must be made using the selected payment method. Payment is accepted through credit cards (Visa, Eurocard, Mastercard, Cartes Bancaires, American Express), bank transfer, and Coinbase Commerce. Tickets cannot be exchanged, even in cases of loss or theft. Rejection of payment or non-payment by bank transfer within ten (10) business days may result in order cancellation.

6. Organiser's Obligations

A. Tickets

The Organiser issues entry tickets upon order validation and payment confirmation. Once the order is validated, payment is recorded, and an order confirmation is sent to the Attendee via email, including the entry ticket as an attachment. Each ticket is nominative and unique, allowing access to the Event upon presentation of official identification containing information matching the ticket. Attendees have access to all public sessions proposed by the Organiser (except for private sessions organized by partners) and exhibition visits during opening hours. Attendees may receive various event-related information via email from the day of subscription until the Event itself, as well as ticket reissues if necessary. In accordance with Article L 121-21-18 of the French Consumer Code, ticket sales are not subject to the right of withdrawal; therefore, tickets cannot be returned or exchanged.

b. Event Content

NFT Paris strives to provide accurate Event programs, speakers, topics, and venues at the time of publication. However, unforeseen circumstances beyond our control may require substitutions, alterations, postponements, or cancellations of Event content, format, themes, names, performers, hosts, moderators, venues, or timing. In such cases, we will make reasonable efforts to notify attendees promptly by updating information on the Event Website.

7. Admittance to the Events

a. ID Checks

To gain entry to NFT Paris events, attendees must possess a valid ticket and be prepared to present identification, such as an ID card or passport, if requested at the entrance. If the information on the identification does not match the registration details (including first and last names and any other relevant information), the Organiser reserves the right to deny entry, with no eligibility for a refund.

b. Wristbands and Lanyards

For security and identification purposes, attendees are required to:Wear the official Event lanyard with their badge around their neck.Wear the official Event wristband around their wrist.Carry photo identification and present it upon request.If wristbands or lanyards are lost during the event, attendees must visit the customer service help desk at the Event venue to request replacements. The Organiser may impose administrative fees for replacements.

c. Attendee Participation and Behavior

Attendees are responsible for communicating any special access requirements at the time of booking. During the Event, attendees must conduct themselves in an orderly manner and avoid actions that may cause offense, annoyance, or inconvenience to other attendees. Attendees, unless part of a partner team and operating within partner spaces (e.g., booths or rooms), should not engage in promotional, advertising, or solicitation activities that are deemed unacceptable by the Organiser. The Organiser reserves the right to remove any attendee who contravenes applicable laws, regulations, or event policies, or whose behavior is likely to cause offense or is otherwise inappropriate or non-compliant with these Terms.

8. Cancellation

Attendees are informed that they are not entitled to a refund of their ticket in the event of Event cancellation due to circumstances beyond the control of the Organiser, such as force majeure events or cancellation requests from local authorities or public agencies. In the unlikely event of Event postponement or cancellation for other reasons, our total aggregate liability is limited to the refund of fees paid, less credit card and payment processing fees, with no liability for additional expenses, damages, or losses incurred by attendees as a result of the cancellation or postponement.

9. Attendees' Personal Data

The Organiser collects personal data from attendees at the time of ticket purchase for order processing and ticket issuance. We take data privacy seriously and do not transfer or sell attendee details to third parties without explicit authorization. Attendees' contact details are not shared with sponsors, and attendee lists are not sold or publicly disclosed. However, we may publish semi-anonymized information (company/title) and transfer data to partners in specific cases, such as when attendees opt-in to share contact details in the event app or when completing forms to participate in partner side events. 10. Photography, Audio & Video Recording, Image Rights

Unauthorized use of photographic, audio, video, or other recording equipment at the Event is strictly prohibited unless approved by the Organiser in writing in advance. Attendees may be required to delete unauthorized media, and the Organiser may seek remedies through legal means. By attending the Event, attendees acknowledge and agree that the Event (or parts of it) may be photographed or recorded by us or our partners. Attendees grant us or third parties licensed by us permission to use, distribute, broadcast, or otherwise disseminate their likeness, name, voice, and words in various media formats, without further approval or payment.

11. Intellectual Property

The Event showcases corporate sponsors and speakers presenting innovations. Trademarks, logos, presentations, and speeches may be displayed and disclosed on stage. Attendees are prohibited from reproducing or using any of the materials presented, exhibited, or communicated during the Event without prior written consent from the rights holder. Such actions may lead to prosecution for copyright infringement. All content presented at the Event remains the intellectual property of the respective rights holders.

12. Force Majeure

The Organiser is not liable for any delay, non-performance, or other damages or loss due to force majeure events, such as acts of nature, fire, floods, acts of terrorism, strikes, lockouts, accidents, war, and other unforeseeable events beyond our reasonable control.

13. Liability

The Organiser is not liable for any direct or indirect damage, injury, or loss resulting from the attendee's participation in the Event, including but not limited to loss of income, profits, or goodwill, or other consequential damages. In the event of any dispute or disagreement regarding the Event or these Terms, the maximum aggregate liability of the Organiser shall be limited to the amount paid by the attendee for the Event ticket, excluding credit card and payment processing fees.

14. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of France. Any dispute or claim arising out of or in connection with these Terms or their subject matter shall be subject to the exclusive jurisdiction of the French courts.

15. Miscellaneous

These Terms constitute the entire agreement between the parties regarding the subject matter and supersede any prior agreements or understandings. Any changes or amendments to these Terms must be made in writing and signed by both parties to be valid. If any provision of these Terms is found to be invalid or unenforceable, it shall be severed from these Terms, and the remaining provisions shall remain in full force and effect.

By registering for and attending the Event, you acknowledge that you have read, understood, and accepted these Terms of Service, and you agree to be legally bound by them.17.
